You are solely responsible for the Content you submit, and MaquishTech reserves the right to remove or restrict any Content that we believe, in our sole discretion, violates these Terms or is otherwise objectionable. We are not obligated to monitor User-generated Content but may do so at our discretion.
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of any engagement and requires that confidential information not be disclosed to third parties without prior written consent. To the maximum extent permitted by law, MaquishTech Venture Pvt Ltd's total liability for any claim arising from its services shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities. This limitation applies regardless of the legal theory on which the claim is based.
Either party may terminate an engagement with 14 days written notice. Fees for work completed up to the termination date are payable. Upon termination, the Client receives all completed deliverables upon full payment. MaquishTech may also suspend or terminate access to the Website immediately, without notice, if you breach these Terms. Sections that by their nature should survive termination — including those concerning intellectual property, confidentiality, limitation of liability, and governing law — shall remain in effect after termination.
Refunds are governed by our Refund Policy. Project Discovery fees are non-refundable once the session is conducted. Refunds for other engagements, if applicable, are determined in accordance with the terms set out in the relevant proposal or contract.
The Services may integrate with or rely upon Third-Party Services such as payment gateways, CRM platforms, cloud hosting providers, and analytics tools. MaquishTech is not responsible for the availability, accuracy, or functionality of these Third-Party Services. Your use of Third-Party Services is subject to their respective terms of service and privacy policies, which you should review before using them. MaquishTech shall not be liable for any loss or damage caused by the failure, modification, or discontinuation of any Third-Party Service. We may modify or discontinue integrations with Third-Party Services at any time without prior notice.
MaquishTech Venture Pvt Ltd reserves the right to modify, suspend, or discontinue any part of the Website or Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Services. Where a change materially affects an ongoing engagement, MaquishTech will communicate the change to the Client through reasonable means. New features or tools may be introduced from time to time and will be subject to these Terms unless otherwise stated.
Neither party shall be held liable for any delay or failure in performance under these Terms caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labour disputes, government actions, power outages, internet or telecommunications failures, or other circumstances that could not reasonably be foreseen or avoided. The affected party shall notify the other party promptly and use reasonable efforts to resume performance as soon as the situation permits. If a force majeure event continues for more than 30 days, either party may terminate the affected engagement without penalty.
You agree to indemnify, defend, and hold harmless MaquishTech Venture Pvt Ltd, its directors, officers, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses — including reasonable legal fees — arising out of or relating to your use of the Website or Services, your violation of these Terms, your infringement of any third-party rights, or any Content you submit. MaquishTech reserves the right to assume the exclusive defence of any matter for which you are required to indemnify us, and you will cooperate with us in asserting any available defences.
You may not assign, transfer, or sublicense your rights or obligations under these Terms without the prior written consent of MaquishTech Venture Pvt Ltd. Any attempted assignment without such consent shall be null and void. MaquishTech may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganisation, or sale of all or a portion of its assets. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.
These Terms are governed by and construed in accordance with the laws of the Republic of India. Disputes shall be subject to the exclusive jurisdiction of the courts in Gorakhpur, Uttar Pradesh, India. The parties agree to attempt in good faith to resolve any dispute through negotiation before initiating legal proceedings.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. The failure of MaquishTech to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision unless acknowledged in writing.
We may update these Terms at any time at our sole discretion. The "Last updated" date at the top of this page indicates when the Terms were last revised. Continued use of our Website or Services after changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically to stay informed of any changes.
These Terms, together with any proposal, contract, or policy expressly referenced herein — including our Refund Policy and NDA policy — constitute the entire agreement between you and MaquishTech Venture Pvt Ltd with respect to the subject matter hereof. These Terms supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral, relating to such subject matter.
