These Terms and Conditions ("Terms") govern your access to and use of the website and services provided by MaquishTech Venture® Pvt Ltd ("MaquishTech", "we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. These Terms form a legally binding agreement between you and MaquishTech Venture® Pvt Ltd. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. We recommend that you read these Terms carefully and retain a copy for your records.

1. Definitions

• "Services" refers to technology consulting, software development, cybersecurity, staffing, CRM/ERP implementation, research, and related services offered by MaquishTech.
• "Client" refers to any individual or entity engaging MaquishTech for services.
• "Website" refers to the MaquishTech Venture® website located at https://maquishtechventure.com.
• "Deliverables" refers to prototypes, software, documents, designs, or other outputs produced for the Client.
• "User" refers to any visitor, registered account holder, or Client who accesses or uses the Website or Services.
• "Content" refers to any text, data, code, graphics, files, or other materials submitted, uploaded, or shared by a User through the Website or Services.
• "Third-Party Services" refers to software, platforms, APIs, or tools provided by entities other than MaquishTech that may be integrated with or accessed through the Services.

2. Acceptance of Terms

By using our website or services, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree with any part of these Terms, please do not use our website or services. Your continued use of the Website or Services after any updates to these Terms constitutes your acceptance of the revised Terms. These Terms apply to all visitors, users, and others who access or use the Website.

3. Services and Engagements

• Project Discovery: A consultation to analyse requirements and recommend a solution. The first consultation by email is free; any paid session is priced on the checkout page before you pay. This session helps define the scope, feasibility, and estimated effort for your project.
• Custom Prototype: A scoped prototype engagement, priced in your quote, to demonstrate a working concept. The prototype is intended to validate ideas and may not include all features of a final production-grade solution.
• Full Implementation: A custom-quoted engagement for end-to-end solution development and deployment, including design, development, testing, and handover.
• All engagements are governed by a separate proposal or contract that takes precedence over these Terms in case of conflict.
• Any services not explicitly described in a signed proposal or contract are outside the scope of the engagement and may require a separate agreement.

4. Payment Terms

• Project Discovery fees are payable in advance and are non-refundable once the consultation is conducted.
• Custom Prototype and Full Implementation engagements require an advance payment as specified in the proposal.
• Invoices are due within 15 days unless otherwise stated.
• Late payments may attract interest at 1.5% per month on the outstanding balance.
• All prices are exclusive of applicable taxes (GST) unless stated otherwise.
• Payments must be made through the methods specified in the invoice. MaquishTech is not responsible for payments made through unauthorised channels.
• Work may be paused on engagements with overdue invoices until payment is received in full.

5. Account Registration

To access certain features of the Website or Services, you may be required to register for an account. When registering, you agree to provide accurate, current, and complete information about yourself as prompted by the registration form. You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account. You agree to notify MaquishTech Venture® Pvt Ltd immediately of any unauthorised use of your account or any other breach of security. MaquishTech cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations. You must be at least 18 years of age to register an account. You may not use another person's account without their explicit permission.

6. Prohibited Uses

You agree not to use the Website or Services for any unlawful, harmful, or prohibited purpose. Without limitation, you agree not to:

• Violate any applicable local, national, or international law or regulation.
• Infringe upon the intellectual property rights, privacy, or other rights of any third party.
• Upload, transmit, or distribute viruses, malware, or any other malicious code.
• Attempt to gain unauthorised access to any part of the Website, Services, or related systems.
• Interfere with or disrupt the operation of the Website or Services, including servers or networks connected to them.
• Use the Website or Services to send unsolicited communications, spam, or promotional content without consent.
• Reverse engineer, decompile, or disassemble any software provided by MaquishTech, except as permitted by applicable law.
• Scrape, crawl, or otherwise extract data from the Website in an automated manner without our written consent.
• Use the Website or Services in a manner that could damage, disable, overburden, or impair any MaquishTech server or network.

Violation of these prohibitions may result in immediate suspension or termination of your access, and MaquishTech reserves the right to take legal action where appropriate.

7. User-Generated Content

If the Website or Services allow you to submit, upload, or otherwise share Content, you retain ownership of that Content. However, by submitting Content to MaquishTech, you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, store, and process that Content solely for the purpose of providing and improving the Services. You represent and warrant that you have all necessary rights to submit your Content and that it does not violate any law or the rights of any third party. You are solely responsible for the Content you submit, and MaquishTech reserves the right to remove or restrict any Content that we believe, in our sole discretion, violates these Terms or is otherwise objectionable. We are not obligated to monitor User-generated Content but may do so at our discretion.

8. Client Responsibilities

• Provide accurate and timely information required for the project, including requirements, feedback, and approvals.
• Provide access to systems, data, and personnel as needed to complete the engagement.
• Review and approve deliverables within agreed timeframes; delays in approval may impact the project timeline.
• Ensure you have the right to share any content, data, or materials provided to MaquishTech.
• Notify MaquishTech promptly of any changes to project scope, objectives, or key personnel.
• Ensure that your use of the Services complies with all applicable laws and regulations.

9. Intellectual Property

• Upon full payment, the Client receives ownership of custom deliverables specifically created for them, excluding third-party components, open-source software, and MaquishTech's pre-existing tools or frameworks.
• MaquishTech retains the right to use generic methodologies, templates, and code libraries developed during the engagement.
• MaquishTech may showcase the work in its portfolio unless an NDA prohibits it.
• All branding, logos, and content on the Website are the property of MaquishTech Venture® Pvt Ltd and may not be used without prior written consent.
• Any third-party software or components used in the Deliverables remain subject to their respective licences.

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of any engagement and requires that confidential information not be disclosed to third parties without prior written consent. A separate NDA may be executed for projects requiring enhanced confidentiality. See our NDA policy for further details.

11. Warranties and Disclaimers

• MaquishTech warrants that services will be performed with reasonable skill and care consistent with industry standards.
• We do not guarantee that software will be error-free or operate uninterrupted, and we are not liable for downtime caused by factors outside our control.
• Third-party platforms (Zoho, Salesforce, etc.) are governed by their own terms and we are not responsible for their availability, performance, or changes.
• The Website and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
• MaquishTech does not warrant that the Services will meet your specific requirements or that all errors will be corrected.

12. Limitation of Liability

To the maximum extent permitted by law, MaquishTech Venture® Pvt Ltd's total liability for any claim arising from its services shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities. This limitation applies regardless of the legal theory on which the claim is based.

13. Termination

Either party may terminate an engagement with 14 days written notice. Fees for work completed up to the termination date are payable. Upon termination, the Client receives all completed deliverables upon full payment. MaquishTech may also suspend or terminate access to the Website immediately, without notice, if you breach these Terms. Sections that by their nature should survive termination — including those concerning intellectual property, confidentiality, limitation of liability, and governing law — shall remain in effect after termination.

14. Refunds

Refunds are governed by our Refund Policy. Project Discovery fees are non-refundable once the session is conducted. Refunds for other engagements, if applicable, are determined in accordance with the terms set out in the relevant proposal or contract.

15. Third-Party Services

The Services may integrate with or rely upon Third-Party Services such as payment gateways, CRM platforms, cloud hosting providers, and analytics tools. MaquishTech is not responsible for the availability, accuracy, or functionality of these Third-Party Services. Your use of Third-Party Services is subject to their respective terms of service and privacy policies, which you should review before using them. MaquishTech shall not be liable for any loss or damage caused by the failure, modification, or discontinuation of any Third-Party Service. We may modify or discontinue integrations with Third-Party Services at any time without prior notice.

16. Modifications to Services

MaquishTech Venture® Pvt Ltd reserves the right to modify, suspend, or discontinue any part of the Website or Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Services. Where a change materially affects an ongoing engagement, MaquishTech will communicate the change to the Client through reasonable means. New features or tools may be introduced from time to time and will be subject to these Terms unless otherwise stated.

17. Force Majeure

Neither party shall be held liable for any delay or failure in performance under these Terms caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labour disputes, government actions, power outages, internet or telecommunications failures, or other circumstances that could not reasonably be foreseen or avoided. The affected party shall notify the other party promptly and use reasonable efforts to resume performance as soon as the situation permits. If a force majeure event continues for more than 30 days, either party may terminate the affected engagement without penalty.

18. Indemnification

You agree to indemnify, defend, and hold harmless MaquishTech Venture® Pvt Ltd, its directors, officers, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses — including reasonable legal fees — arising out of or relating to your use of the Website or Services, your violation of these Terms, your infringement of any third-party rights, or any Content you submit. MaquishTech reserves the right to assume the exclusive defence of any matter for which you are required to indemnify us, and you will cooperate with us in asserting any available defences.

19. Assignment

You may not assign, transfer, or sublicense your rights or obligations under these Terms without the prior written consent of MaquishTech Venture® Pvt Ltd. Any attempted assignment without such consent shall be null and void. MaquishTech may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganisation, or sale of all or a portion of its assets. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.

20. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of India. Disputes shall be subject to the exclusive jurisdiction of the courts in Gorakhpur, Uttar Pradesh, India. The parties agree to attempt in good faith to resolve any dispute through negotiation before initiating legal proceedings.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. The failure of MaquishTech to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision unless acknowledged in writing.

22. Changes to Terms

We may update these Terms at any time at our sole discretion. The "Last updated" date at the top of this page indicates when the Terms were last revised. Continued use of our Website or Services after changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically to stay informed of any changes.

23. Entire Agreement

These Terms, together with any proposal, contract, or policy expressly referenced herein — including our Refund Policy and NDA policy — constitute the entire agreement between you and MaquishTech Venture® Pvt Ltd with respect to the subject matter hereof. These Terms supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral, relating to such subject matter.

23A. Festive Offer Terms

Festive offer: up to 10%–50% off your first project across all services.

• Valid on new projects confirmed (quote accepted in writing) by 31 Dec 2026.
• The discount is 10% to 50%; the percentage depends on the service and the scope, and is stated on your confirmed quote before you pay.
• It applies to the first project per new client and is calculated on our listed "starting from" price or on the quoted price for your scope. We do not show inflated "was" prices.
• It cannot be combined with other offers or discounts.
• Software licences, subscriptions and other third-party fees (for example platform licences, app-store, hosting, domain, certification-body or payment-gateway fees) are excluded.
• Taxes apply as per law. We may end or change the offer for projects not yet confirmed; confirmed quotes are honoured.

23B. Space Industry Explorer Membership (Fan & Pro passes)

These terms apply if and when membership of the Space Industry Explorer at /space/industry/ is offered for sale. Until then, the Explorer is free and the waitlist only stores your email so we can tell you when membership opens.

• Tiers. Free (Explorer), Fan (Member) and Pro (Analyst). The features in each tier are listed in the comparison table on the Explorer page at the time of purchase. Membership pays for our curation, tools and features. Public-domain data, such as NASA and NOAA material, stays free on our site, and each source keeps its own terms.
• One-time passes, no auto-renewal. Each purchase is a single payment for a 30-day or 365-day pass. A pass expires automatically at the end of its term. We never store card details and never charge you again unless you choose to buy another pass. If you buy while a pass is active, the new days are added to your current expiry.
• Upgrades. An active Fan member can upgrade to Pro for the remaining days of the current pass by paying only the prorated difference. Our server calculates it as (Pro daily rate − Fan daily rate) × days remaining, using yearly rates when more than 31 days remain and monthly rates otherwise, subject to a small minimum charge. The expiry date does not change. There is no downgrade during a pass.
• Gifts. You can buy a pass for another person. We email the recipient once after payment. The pass is linked to the recipient's email address and follows these terms.
• Cancellation. As there is no subscription, there is nothing to cancel. You can simply stop using the pass, and it will expire. You may ask us to close your account and delete your member data at any time; any refund follows section 12A of our Refund Policy.
• Access. You sign in with a one-time link sent to your email. Passes are personal and may not be shared or resold. We may suspend a pass if it is abused, for example through scraping or redistribution of exports.
• Data. Live data comes from third-party public sources (for example Launch Library 2 and the Spaceflight News API). It may be delayed, incomplete or unavailable, and it is not for operational, navigation, safety or investment decisions. Exports are for your own internal use, and you must keep the source attributions. We are not affiliated with any agency or company listed.
• Prices and taxes. Prices are shown in INR or USD before payment and include any taxes we are required to charge. We may change prices for future purchases, but a change does not affect a pass you have already bought.
